We have extensive experience in advising on the sale and purchase of businesses in a wide variety of sectors. These include property, construction, financial services, healthcare, industrial, transport, logistics, leisure, retail, technology and publishing businesses.
Our clients on M&A matters include individuals and companies buying or selling shares or business assets and teams involved in management buyouts (MBOs) and management buyins (MBIs). We are flexible and can be available to help at any or all stages in the deal process, including heads of terms, due diligence and disclosure, drafting and negotiation of contracts, dealing with financing and security issues and coordinating completion.
We advise on deals up to around £20 million in value. However much of our work is for clients buying or selling small and medium sized businesses. We take a realistic approach and will discuss with you what level of contractual protection is practical and proportionate bearing in mind the size of deal. This means that costs are kept to a sensible level whilst ensuring that risks are suitably managed.
